Acceptance of the General Terms and Conditions

The Customer agrees to carefully read these General Terms and Conditions of Sale and expressly accept them before proceeding with payment for an Order of Products placed on the Website.
These General Terms are linked at the bottom of each page of the Website via a link accessible at the following address: Laprisienne-officielle@gmail.com and must be reviewed before placing an Order. The Customer is encouraged to carefully read, download, and print the General Terms and Conditions of Sale and keep a copy.
The Seller advises the Customer to review the General Terms and Conditions of Sale for each new Order, as the latest version of these Terms applies to any new Order for Products.
By clicking the “Add to Cart” button to place the Order and then the “Confirm Order” button to confirm said Order, the Customer acknowledges having read, understood, and accepted the General Terms and Conditions without limitation or condition.

5.1. Product Characteristics

The Seller undertakes to present, in a clear, legible, and understandable manner, the essential characteristics of the Products and the mandatory information that the Customer must receive under French law, and to verify their accuracy.
These characteristics and information appear on the product pages on the Website.
These sheets include, in particular, the description, composition, format, intended use, and price of the Product.
The Customer agrees to carefully read this information before placing an Order on the Website.

The Customer must carefully read the various warnings appearing on the Product descriptions, particularly the instructions for use, before placing any Order.
5.2. Ordering Procedure

Once the Products have been selected and added to their cart, the Customer must click on the cart and verify that the Order details are correct (including the quantity, characteristics, and product codes of the ordered Products, the billing address, the payment method, and the price) before confirming the order. Once the Customer has confirmed the cart contents and has logged in or registered, an automatically populated online form will appear, summarizing the price, applicable taxes, and shipping fees. The Customer can then proceed to pay for the Products using the chosen payment method, following the instructions on the Website and providing all the information necessary for billing and delivery of the Products. For Products with available options, the specific product codes will be displayed once the correct options have been selected. The unavailability of a Product is indicated on the page for that Product. Right of Withdrawal

The terms and conditions governing the right of withdrawal are set forth in the “Withdrawal Policy,” which is included in Appendix 2 hereto.

8.1. Payment methods

The Customer may pay for their Products online on the Site using the payment methods offered by the Seller, namely:

- Credit card.

For this reason, none of the information provided on the Site is stored; instead, it is processed directly by our partner, Shopify Payments, using a secure payment module.

8.2. Payment date

In the case of a single credit card payment, the Customer's account will be charged as soon as the Product Order is placed on the Site.

In the case of a partial delivery, the total amount will be debited from the Customer's account no sooner than when the first package is shipped.

If the Customer decides to cancel their Product Order for products that are unavailable, the refund will be issued in accordance with the last paragraph of Article 5.5 of these General Terms and Conditions.

8.3. Payment Refusal

If the bank refuses to process a charge to a card or other payment method, the Customer must contact the Seller's Customer Service to pay for the Order using any other valid payment method accepted by the Seller.

In the event that, for any reason—whether due to objection, refusal, or otherwise—the transfer of the funds owed by the Customer proves impossible, the Order will be canceled and the sale automatically rescinded.

Transfer of ownership

The Seller retains ownership of the delivered Products until the Customer has paid for them in full.
The above provisions do not prevent the transfer to the Customer—at the time the Customer or a third party designated by the Customer takes physical possession of this Product—of the risks of loss or damage to the Products subject to retention of title, as well as the risks of damage that they may cause.
If the Product is delivered to a carrier other than the one offered by the Seller, the risk of loss or damage to the Product passes to the Customer upon delivery of the Product to the carrier.

Delivery

The terms and conditions governing the delivery of the Products are set forth in the “Delivery Policy” referred to in Appendix 3 hereto.

Liability

Under no circumstances may the Seller be held liable in the event of non-performance or improper performance of contractual obligations attributable to the Customer, particularly when placing an Order.
The Seller shall not be held liable, nor shall it be deemed to have breached these General Terms and Conditions, for any delay or failure to perform any of its obligations described herein, when the cause of the delay or failure to perform is attributable to a force majeure event as defined by the case law of the French courts and tribunals. It is also specified that the Seller has no control over websites that are directly or indirectly linked to the Site. Consequently, the Seller disclaims all liability for the information published on such websites. Links to third-party websites are provided for informational purposes only, and no guarantee is given regarding their content.

Force majeure

The Seller shall not be held liable if the failure to perform or delay in performing any of its obligations described in these General Terms and Conditions results from a force majeure event. A force majeure event in contractual matters occurs when an event beyond the debtor’s control—which could not have been reasonably foreseen at the time the contract was entered into and whose effects cannot be prevented by appropriate measures—prevents the debtor from performing its obligation. If the impediment is temporary, performance of the obligation is suspended unless the resulting delay justifies termination of the contract. If the impediment is permanent, the contract is terminated by operation of law, and the parties are released from their obligations under the conditions provided for in Articles 1351 and 1351-1 of the Civil Code. In the event of a suspected force majeure event, the Seller will endeavor to inform the Customer as soon as possible.

Under no circumstances shall such a change or decision authorize Customers to disregard these General Terms and Conditions of Sale.

Amendment to the General Terms and Conditions

These General Terms and Conditions of Sale apply to all orders placed online on the Site, as long as the Site is available online.

The General Terms and Conditions are specifically dated and may be modified and updated by the Seller at any time. The applicable General Terms and Conditions are those in effect at the time the Order is placed. Proposed changes to the General Terms and Conditions will not apply to Products that have already been purchased.

Jurisdiction and applicable law

These general terms and conditions, as well as the relationship between the customer and the seller, are governed by French law. Any dispute relating to the conclusion, interpretation, performance, or termination of this contract shall be subject to the exclusive jurisdiction of the Paris Judicial Court, including through summary proceedings or applications, regardless of whether there are multiple defendants, a counterclaim, a third-party claim, urgent proceedings, summary proceedings, or applications.
However, before initiating any legal proceedings, the Customer is encouraged to contact the Seller's customer service department.
If no agreement is reached or if the Customer can demonstrate that they have previously attempted to resolve their dispute directly with the Seller by submitting a written complaint, an optional mediation procedure will be offered, conducted in a spirit of fairness and good faith with a view to reaching an amicable settlement in the event of any dispute relating to these General Terms and Conditions, including as to their validity.

Appendix 1 – Legal Warranties

In addition to any commercial warranties the Seller may offer for certain Products, every Customer is entitled to “statutory” warranties for all Products, as detailed below, in accordance with Article L. 221-5 of the French Consumer Code:
The consumer has a period of two years from the delivery of the goods to enforce the legal guarantee of conformity in the event that a lack of conformity arises. During this period, the consumer is only required to establish the existence of the lack of conformity and not the date on which it arose.

When the contract for the sale of goods provides for the continuous supply of digital content or a digital service for a period exceeding two years, the statutory warranty applies to such digital content or digital service throughout the planned supply period. During this period, the consumer is only required to establish the existence of the lack of conformity affecting the digital content or digital service, not the date on which it appeared.
The legal guarantee of conformity requires the trader, where applicable, to provide all necessary updates to maintain the conformity of the goods.
The legal guarantee of conformity entitles the consumer to have the goods repaired or replaced within thirty days of their request, free of charge and without significant inconvenience to them.
If the goods are repaired under the legal guarantee of conformity, the consumer is entitled to a six-month extension of the original warranty. If the consumer requests repair of the goods but the seller insists on replacement, the legal guarantee of conformity is renewed for a period of two years from the date of replacement of the goods.
The consumer may obtain a reduction in the purchase price while keeping the goods or terminate the contract and receive a full refund upon return of the goods, if:

1. The seller refuses to repair or replace the goods;
2. The repair or replacement of the goods takes place after a period of thirty days;
3. The repair or replacement of the goods causes significant inconvenience to the
consumer, particularly when the consumer permanently bears the costs of
returning or picking up the nonconforming goods, or if they bear the costs of installing the repaired or replacement goods;
4. The nonconformity of the goods persists despite the
seller’s unsuccessful attempt to bring them into conformity.

The consumer is also entitled to a price reduction for the goods or to terminate the contract when the lack of conformity is so serious that it justifies an immediate price reduction or termination of the contract. In such cases, the consumer is not required to request that the goods be repaired or replaced beforehand.
The consumer is not entitled to terminate the sale if the lack of conformity is minor.
Any period during which the goods are out of service for repair or replacement suspends the remaining warranty until the goods are delivered in their restored condition.
The rights mentioned above arise from the application of Articles L. 217-1 through L. 217-32 of the French Consumer Code.
A seller who unlawfully and in bad faith prevents the enforcement of the legal warranty of conformity may face a civil fine of up to 300,000 euros, which may be increased to up to 10% of the average annual turnover (Article L. 241-5 of the French Consumer Code).
The consumer is also entitled to the legal warranty against hidden defects pursuant to Articles 1641 through 1649 of the French Civil Code, for a period of two years from the discovery of the defect. This warranty entitles the consumer to a price reduction if the goods are retained or to a full refund upon return of the goods.
